Annual Membership Meeting
Minutes
A morning meeting was called on Saturday 9/13/25 while the class was waiting for the wind to fill in. In attendance were members:
JR Kendall, Jeff Herdrich, Ben Herdrich, Andy Allen, Aaron Lynn, Lizzy Lynn, Kate Lynn, Andy Gratton, Stew Harris, Reed Westcott, Justin Harler, Tim Dickson, Mac Dickson, Ed Ryan, Laura Albert, Joe Ewing, Peter Pietra, John Grumme, Reid Gustafson, Eric Hall.
Quorum
A quorum was called based on Article V, Section 5, which states:
The presence of ten percent (10%), in person or by proxy, of holders of the membership entitled to vote, shall constitute a quorum for the transaction of business.

Treasurer Report by Jeff Herdrich
Jeff reported the Organization had a balance of $4500 at the time of the meeting.
Secretary Report by Justin Harler
Justin shared the current membership status. Membership has been increasing again since COVID. The figure below shows annual membership since 2022. The values there do not account for lifetime members, and was calculated based on the number of participants in NISSA events each year. An important factor for increasing participation is the number of events that we hold in different locations to draw people in from more places.

Commodore Report by Joe Ewing.
Joe discussed efforts to rebuild Indian Lake Yacht Club after the tornado in 2024 and the club’s desire to hold the national championship regatta in 2026 as well as an event during the early season.

Discussion of efforts to rebuild I20 fleets in Wisconsin led by Aaron Lynn and Andy Gratton.
Elections-Treasurer
A special election was called to fill the position of Treasurer. Treasurer Jeff Herdrich is stepping down after one year due to other obligations which require his attention. Bylaws require an election when a board member resigns or term expires (Article VI, Section 8)
Bylaw Article VIII, Section 3, par. D states:
The Treasurer shall have custody of all funds and securities of the Association. He/she shall keep full and accurate books of account of receipts, disbursements, vouchers, and other records. He/she shall, on behalf of the Association and under the direction of the Commodore or Board of Directors, sign, make, and endorse all checks, drafts, warrants, bills payable, and negotiable instruments of or for the Association, or orders for payment of money. He/she shall make disbursements and deposit all monies and other valuables in the name and to the account of the Association in such banks or other depositories as designated by the Board of Directors, and shall render an accounting of his transactions together with official records thereof to the Board of Directors or the Commodore for the examination and approval as often as the Board or the Commodore may require.
The membership nominated J.R. Kendall of Wawasee Lake, IN to the position of treasurer. The nomination was seconded and a vote called by Commodore Joe Ewing. The nomination passed unanimously.
Recognition of Immediate Past Commodore Andy Allen.
A special thanks was delivered for the immediate past commodore Andy Allen of Wawasee Lake IN. Allen served 5 years in the position through an important period that included the COVID pandemic and the purchase of the I20 molds originally built by the Johnson Boat Works of Minnesota.
